PAPILLAE COMPETITION RULES AND TERMS AND CONDITIONS

 

1. PROMOTER AND ADMINISTRATOR INFORMATION

1.1. The promoter and sole administrator of the Competition is Papillae (Pty) Ltd, a Company duly

registered and incorporated in accordance with the company laws of South Africa, bearing

company registration number: 2022/807468/07 (hereinafter referred to as “the Promoter”).

1.2. The Promoter is solely responsible for administering this Competition. The restaurant where the

prize will be redeemed (hereinafter referred to as the Restaurant) has no involvement in the

administration or management of this Competition.

1.3. By participating in this Competition, all participants irrevocably agree to be bound by these

Terms and Conditions, which will be interpreted and administered solely by the Promoter.

2. ACCEPTANCE OF TERMS AND CONDITIONS

2.1. Please read these Terms and Conditions carefully.

2.2. By participating in any competition/giveaway/auction/reward (hereafter referred to as Competition), all participants irrevocably agree to be bound by these Terms and Conditions.

2.3. The Promoter may amend these Terms and Conditions at any time during the Competition by

posting such amendments on its social media platforms, which may include but not be limited to

Instagram and other social media platforms, determined at the Promoter’s sole discretion, from

time to time.

2.4. It is the participants responsibility to review these Terms and Conditions periodically.

Participation in the Competition following any amendment will constitute acceptance of the

amended Terms and Conditions.

3. ELIGIBILITY

3.1. The Competition is open to all residents of the Republic of South Africa, aged 18 years or older.

3.2. Directors, members, agents, promoters, consultants to promoters, employees, contractors, and

their immediate family members, or any affiliates of the Promoter, or any third party directly

associated with the administration of the Competition, are not eligible to enter or claim the

prize.

3.3. No prize will be awarded to any person to whom such prize may not be legally awarded,

including but not limited to minors under the age of 18.

4. SOCIAL MEDIA PLATFORMS AND ENTRY DETAILS

4.1. The Competition will be announced on the official social media platforms of the Promoter, which

may include but not be limited to Instagram and other social media platforms, determined at the

Promoter’s sole discretion, from time to time.

4.2. To enter, participants must follow the specific instructions provided on the social media platform

where the Competition is announced. These instructions may vary and could differ significantly

depending on the nature of the Competition. The Promoter will outline the entry requirements

in the Competition Post on the relevant social media platform.

4.3. The closing date for entries will be specified in the Competition Post. The Promoter accepts no

responsibility for entries not received for any reason, including technical issues beyond its

control.

5. PRIZE DETAILS

5.1. The prize for the Competition will be detailed in the giveaway instructions provided in the

Competition Post on the social media platform.

5.2. The value of the prize, including any specific limitations or conditions, will be specified in these

instructions contained in the Competition Post and will be fully covered by the Promoter.

5.3. The meal will take place on a date and time specified and communicated by the Restaurant. This

is a fixed date and time and cannot be changed. The Promoter will not be liable if the winner is

unable to attend or fulfil this booking at the specified date and time.

5.4. The prize includes only the meal at the Restaurant; the Promoter is not liable for transport or

any other associated costs.

5.5. The prize is non-transferable, non-exchangeable, and cannot be redeemed for cash or any other

alternatives. It is the winners responsibility to inform the Restaurant of any allergies or dietary

restrictions. The Promoter, the Restaurant, and any third party involved in this giveaway will not

be held responsible for any allergic reactions or dietary issues.

6. WINNER SELECTION AND NOTIFICATION

6.1. Winners will be drawn at random. The judges decision is final, and no correspondence will be

entered into.

6.2. The winner will be contacted via direct message on the platform used to enter the Competition

within the specified timeframe determined by the Promoter, at its sole discretion, from time to

time.

6.3. Three attempts will be made to contact the winner. If the winner cannot be contacted or does

not claim the prize within the specified timeframe determined by the Promoter, at its sole

discretion, from time to time, the Promoter reserves the right to withdraw the prize and select a

replacement winner.

7. PUBLICITY AND PRIVACY

7.1. By entering the Competition, the entrant agrees that the Promoter may use their name, image,

and likeness in any promotional material.

7.2. The winner agrees to supply a valid identification document (e.g., ID or passport), proof of

address, and any other validation procedures required by the Promoter to claim the prize.

7.3. The entrant's personal information may be captured by the Promoter and used for marketing

purposes, in accordance with applicable data protection laws.

8. AMENDMENTS, TERMINATION AND FORCE MAJEURE

8.1. The Promoter reserves the right to cancel, amend, or extend the Competition and these Terms

and Conditions at any time, including in the event of a catastrophe, war, civil or military

disturbance, act of God, or any actual or anticipated breach of any applicable law or regulation,

or any other event outside of the Promoter’s control.​

8.2. Any changes to the Competition will be notified to participants as soon as possible by the

Promoter.

8.3. In the event of such termination, all participants agree to waive any rights they may have and

acknowledge that they have no recourse against the Promoter or any third party involved in the

Competition.

9. INDEMNIFICATION

9.1. By participating in this Competition, participants agree to indemnify, defend, and hold harmless

the Promoter, the Restaurant, and their respective affiliates, directors, officers, employees,

agents, and representatives from and against any and all claims, losses, damages, liabilities,

costs, and expenses (including legal fees) arising out of or related to their participation in the

Competition, the acceptance or use of any prize, or any breach by the entrant of these Terms

and Conditions.

9.2. This indemnification includes, but is not limited to, any claims based on infringement of

intellectual property rights, defamation, invasion of privacy, or any other right of any person or

entity.

9.3. Participants further agree to indemnify and hold harmless the Promoter and its affiliates from

any claim or demand made by any third party due to or arising out of the entrant’s breach of

these Terms and Conditions or their violation of any law or the rights of a third party.

10. LIMITATION OF LIABILITY

10.1. The Promoter and its affiliates, directors, officers, employees, and agents shall not be liable for

any direct, indirect, incidental, special, or consequential damages arising out of or relating to the

Competition or the use or misuse of any prize awarded in connection with the Competition,

including but not limited to any personal injury, property damage, or loss of opportunity.

10.2. The Promoter’s total liability to any entrant shall be limited to the actual value of any prize

awarded to that entrant.

11. COMPLIANCE WITH LAWS

11.1. Participants agree to comply with all applicable laws and regulations in their participation in the

Competition.

11.2. If required by law or if the Competition is declared unlawful, the Promoter reserves the right to

terminate this Competition immediately without notice.

11.3. In the event of such termination, all participants agree to waive any rights they may have

accrued and acknowledge that they have no recourse against the Promoter or any associated

partners.

12. SEVERABILITY

12.1. If any provision of these Terms and Conditions is found to be invalid or unenforceable by a court

of competent jurisdiction, the remaining provisions shall remain in full force and effect.

12.2. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision

that comes closest to the intention underlying the invalid or unenforceable provision.

13. GOVERNING LAW

13.1. Irrespective of the place of execution, performance or domicile of the Parties, these Terms and

Conditions and all modifications and amendments hereof shall be regulated, governed, 

interpreted and construed entirely by, and in accordance with, the laws of the Republic of South

Africa.

14. FINALITY OF DECISIONS

14.1. The judges decision is final, and no correspondence will be entered into. Any complaints or

disputes will be handled at the sole discretion of the Promoter.

 

 

15. RETENTION OF TERMS AND CONDITIONS

15.1. A copy of these competition rules will be retained by the Promoter for a period of three years.
